1. About these Terms

These Website Terms of Use (“Website Terms”) govern access to and use of the website operated by Finfora Partners LLP (“Finfora”, “we”, “us” or “our”) at finforapartners.com and any associated public-facing pages, content and functionality (collectively, the “Website”). By accessing or using the Website, you agree to be bound by these Website Terms. If you do not agree, you must not use the Website.

2. Nature of the Website

The Website provides general information about Finfora, its Partner community, activities, investment philosophy, membership arrangements and related matters. The Website is not, by itself, the instrument through which a person becomes a Partner. Membership is governed by the applicable Partnership/Membership Agreement and any admission process prescribed by Finfora.

3. Private Partner Structure

Finfora operates its Partner community pursuant to its governing constitutional and contractual documents. Nothing on the Website constitutes an invitation to the general public to subscribe for, purchase or acquire any investment interest, security, unit or participatory interest in Finfora or any investment arrangement managed by it.

4. No Investment Advice

Information on the Website is general information only and is not investment, financial, legal, tax, accounting or other professional advice. A person considering any investment should obtain independent professional advice appropriate to that person’s circumstances.

5. No Guarantee of Returns

Any historical performance, examples, projections, illustrations or descriptions of investment outcomes are not guarantees of future performance. These Terms shall be governed by the laws of the Federal Republic of Nigeria. Subject to any mandatory dispute-resolution procedure applicable under the Partnership/Membership Agreement, disputes concerning the Website shall be subject to the jurisdiction of the competent courts of Nigeria.

Liability, Indemnity and Acceptable Use

1. Scope

These provisions apply to the Website and Portal and supplement the applicable Website Terms and Portal Terms.

2. Reasonable Allocation of Risk

Finfora does not assume responsibility for risks that are inherent in investing, matters outside its reasonable control, or losses arising from a Partner’s own unlawful or unauthorised conduct.

3. Third-Party Services

Finfora may depend on banks, payment processors, hosting providers, telecommunications providers, investment platforms, professional advisers and other third parties. Finfora is not responsible for failures attributable to such third parties.

4. Partner Responsibility

Partners are responsible for the accuracy of information supplied by them, safeguarding their credentials, complying with the Partnership/Membership Agreement, reviewing statements and promptly reporting errors or suspected fraud.

5. Unauthorised Transactions

A Partner must notify Finfora promptly upon becoming aware of an unauthorised transaction or compromised account. Delay may prejudice the investigation and available remedies.

6. Indemnity

A Partner shall indemnify Finfora and its officers, employees and agents against reasonable losses, liabilities, claims and expenses arising from the Partner’s fraud, wilful misconduct, unlawful use of the Website or Portal, breach of these Terms, or infringement of third-party rights.

7. No Investment Guarantee

Nothing in the Website, Portal, marketing material, statement or communication creates a guarantee of investment performance.

8. Force Majeure

Finfora shall not be liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, civil disturbance, government action, infrastructure failure, telecommunications disruption, cyber incidents affecting third-party infrastructure, epidemic, pandemic or similar events.
